Chief Corporate Governance Officer and Continuing Education

The Board of Directors, at its meeting on November 3, 2021, resolved to appoint Ms. Mei-Chi Chen, Chief Financial Officer, as the Chief Corporate Governance Officer of the Company. Ms. Chen has more than three years of experience in financial and stock affairs management at public companies.

Scope of Duties

          1.Handle matters related to Board of Directors and Shareholders’ meetings in accordance with laws and regulations.
          2.Prepare minutes of Board of Directors and Shareholders’ meetings.
          3.Assist directors in their appointment and continuing education.
          4.Provide directors with necessary information to perform their duties.
          5.Support directors in compliance with relevant laws and regulations.
          6.Report to the Board of Directors on the review results regarding whether independent directors meet the qualifications required by laws and regulations at the time of nomination, 
            appointment, and during their term of office.
         7.Handle matters related to changes in directors.
         8.Perform other duties as prescribed by the Company’s Articles of Incorporation or contractual agreements.。

Execution of Duties
  1. Assist each member of the Board of Directors in performing their duties, provide necessary information, and arrange continuing education programs for directors.
  2. Provide each Board member with the latest laws and regulations related to corporate operations and corporate governance at the time of appointment, and update them periodically.
  3. Review the confidentiality level of relevant information and provide directors with the necessary company information, ensuring smooth communication channels between directors and business unit leaders.
  4. After meetings, oversee the disclosure of material information regarding significant Board resolutions, ensuring legal compliance and accuracy to guarantee equal access to information for investors.
  5. Regularly assess and arrange appropriate Directors and Officers  liability insurance and report its details to the Board of Directors.
  6. Assist each Board member in completing at least six credit hours of continuing education courses per year; newly appointed Board members must complete at least twelve credit hours.
  7. In 2025, one Annual General Meeting of Shareholders was held.
  8. In 2024 , a total of five Board meetings and five Audit Committee meetings were held.
  9. In 2023 , an external evaluation of Board performance was conducted (at least once every three years), and the results were reported to the Board in October 2023.
  10. In 2024, an internal evaluation of Board performance was conducted (annually), and the results were reported to the Board in the first quarter of 2025.
  11. The Company’s 11th Corporate Governance Evaluation for 2024  yielded a result of 6–20%.
