Corporate Governance Officer and Continuing Education
Following a resolution of the Board of Directors on November 3, 2021, Ms. Mei-Chi Chen, Chief Financial Officer, was appointed as the Corporate Governance Officer. She has more than three years of experience in financial management, stock affairs, and other related corporate governance functions in public companies.

Scope of Duties
- Handle matters related to the Board of Directors and Shareholders’ meetings in accordance with laws and regulations.
- Prepare minutes of Board of Directors and Shareholders’ meetings.
- Assist directors in their appointment and continuing education.
- Provide directors with the necessary information required to perform their duties.
- Assist directors in complying with applicable laws and regulations.
- Report to the Board of Directors on the review results regarding whether independent directors meet the qualification requirements at the time of nomination, appointment, and throughout their term of office.
- Handle matters related to changes in directors.
- Perform other duties as stipulated in the Company’s Articles of Incorporation or contractual agreements.
Execution of Duties
- Assist each member of the Board of Directors in performing their duties by providing necessary information and arranging required training programs.
- Provide directors with the latest laws and regulations related to the Company’s business operations and corporate governance upon their appointment and update such information regularly.
- Review the confidentiality level of relevant information and provide directors with necessary company information, ensuring smooth communication between directors and senior management.
- Verify and review the disclosure of material information related to major resolutions of the Board of Directors to ensure its compliance and accuracy, thereby safeguarding the equality of investors’ access to information.
- Conduct regular evaluations and arrange appropriate Directors, Supervisors, and Officers (D&O) liability insurance, and report the coverage details to the Board of Directors.
- Assist each director in completing at least six credit hours of continuing education annually, and ensure that newly appointed directors complete at least twelve credit hours.
- In 2025, one Annual General Meeting of Shareholders was held.
- In 2025, four meetings of the Board of Directors and four meetings of the Audit Committee were held.
- An external evaluation of Board performance was conducted in 2023 (required at least once every three years), and the results were reported to the Board in October 2023.
- An internal evaluation of Board performance was conducted in 2024 (performed annually), and the evaluation results were reported to the Board in the first quarter of 2025.
- The Company ranked within the 6–20% range in the 11th Corporate Governance Evaluation for 2024.
